Corporate Paralegal
We are seeking a highly organized and detail-oriented Corporate Paralegal with expertise in contract management to support our legal team. The successful candidate will assist with the preparation, review, and management of contracts, corporate governance matters, and compliance documentation. You will play a critical role in ensuring that all contracts and legal documents meet company policies and regulatory requirements while supporting cross-functional teams.

Requirements

  • Contract Management: Draft, review, and revise contracts, including NDAs, service agreements, vendor contracts, and other legal documents.
  • Document Preparation: Prepare, organize, and maintain corporate governance documents such as board resolutions, meeting minutes, and corporate filings.
  • Compliance Support: Assist with legal research and compliance monitoring related to contracts, corporate policies, and regulations.
  • Contract Tracking: Monitor contract lifecycles, ensuring timely renewals, amendments, and compliance with key terms and deadlines.
  • Corporate Governance: Support the maintenance of corporate records, filings, and compliance documentation in accordance with federal, state, and local regulations.
  • Legal Research: Conduct legal research on a variety of issues, including contract terms, corporate governance, and regulatory matters.
  • Communication: Liaise with internal departments, external legal counsel, and business partners to facilitate contract execution and resolve legal issues.
  • Filing & Organization: Maintain and organize both physical and electronic legal files, ensuring easy retrieval of documents.
  • Process Improvement: Help improve contract management systems and workflows to increase efficiency and ensure consistency across the organization.

Requirements

  • Bachelor’s degree required. Certificate preferred. 
  • 5+ years of corporate paralegal experience, with a focus on contract management.
  • Familiarity with corporate governance and compliance requirements.
  • Proficiency with Microsoft Office Suite, Adobe, and contract lifecycle management tools (CLM software).
  • Skills:
    • Strong knowledge of contract law and corporate governance procedures.
    • Excellent organizational skills and attention to detail.
    • Ability to handle sensitive information with discretion and maintain confidentiality.
    • Proficient in using legal and contract management software.
    • Excellent communication skills, both written and verbal.
    • Strong multitasking and time management abilities in a fast-paced environment.
