Overview:
TalentoHC has been retained by a public organization on the search for a General Counsel, he/she will be responsible for managing the labor relations position of the organization and advising the global business in areas such as complex HR and employment law related issues, M&A, financing, corporate governance, litigation and real estate matters. The ideal candidate is a dynamic self-starter with strong drafting and analytical skills, excellent communication skills, and high ethical standards. The General Counsel will provide timely, high quality legal support to our business partners. We are looking for a self-starter who can prioritize multiple projects while exercising sound business judgment and critical thinking. As General Counsel, you will have a broad range of responsibilities in supporting the legal department and advising the company on corporate affairs, commercial transactions, advertising/marketing clearance, data privacy, and other matters.
Responsibilities:
Labor Relations Management
- Partner with operational management, HR, and legal to manage day to day labor relations issues, disciplinary actions and grievances, mediation, and arbitrations based on overall labor relations strategy.
- Actively share best practices with operating managers, legal, HR, and other functions to enhance labor relations and contract administration.
- Manage the grievance process from onset through arbitration to establish management objectives, ensure effective and timely processing, resolve issues quickly and measure volume, cost, and category of issues to identify trends to improve CBA administration
- Provide guidance and input for labor negotiations preparation based on trends and issues in contract administration
- Provide backroom support in negotiations. Review and consult on communications strategy before and during negotiations with union team and other key audiences. Recommend, review and advise ramifications of proposed changes to contract language
- Create and sustain positive team member relations at all levels.
- Coordinate with internal teams to ensure timely and appropriate responses to organizing activity, including on-site support as required.
Corporate
- Provide advice regarding transactional and corporate matters
- Develop and maintain strong business relationships as a key relationship manager for the corporate legal department among the various internal business groups requiring legal support
- Demonstrate leadership and team-working skills in support of a collaborative environment
- Interact with senior executive management on highly sensitive matters and exercises discretion and maintains a high degree of confidentiality
- Advice and counsel internal clients with respect to the legal policies and the legal implications of proposed transactions; maintain open communication and good working relationships with clients.
- Draft and negotiate M&A transaction agreements and manage all legal aspects of acquisition or disposition transactions
- Prepare securities filings (e.g. 10-Ks, 10-Qs, 8-Ks, Section 16 filings), proxy statements, press and earnings releases and investor relations presentations
- Assist with capital markets transactions and associated legal documentation (e.g. offering documents and registration statements)
- Oversee securities law administration and compliance
- Provide legal support for a wide variety of commercial contracts, including drafting, reviewing and negotiating service and vendor agreements, licensing agreements, manufacturing and supplier agreements, leases, and employment and consulting agreements
- Design, build and improve upon legal department processes and policies to enhance efficiency, including further development and implementation of contract processes and templates
- Analyze and mitigate contractual risk in agreements, consulting contracts and other legal instruments, while increasing efficiency and consistency in contracting.
- Evaluate products, services, internal procedures, and company initiatives to support legal compliance and drive continuous improvement.
- Provide risk-weighted regulatory, compliance, and strategic advice to product, design, and technology teams during all phases of the product development lifecycle.
- Develop and maintain subject matter expertise in areas of data use and protection laws (including state/federal consumer protection and privacy laws, CCPA, and other global privacy laws)
- A law degree from an ABA-accredited law school and license to practice and in good standing with at least one state bar
- 10+ years experience in Labor Relations with expert knowledge and interpretation of the Railway Labor Act
- Strong experience with all aspects of labor relations, including collective bargaining, union organizing, grievance and contract administration, dispute resolution, business acquisition and divestiture, union benefits and pension plans, NMB proceedings, and constructive engagement with labor organizations.
- Strong command of labor and employment best practices
- Demonstrated experience in collective bargaining and collective agreement administration
- Minimum of 5+ years practicing law in law firm or in-house environment
- Deep experience drafting and negotiating broad range of commercial contracts
- Expertise in variety of general corporate transactional matters.
- Demonstrated ability and desire to quickly and effectively develop specialized subject matter expertise on a variety of topics as needed to best serve the organization and leadership
- Strong verbal and written communication and analytical thinking skills, ability to provide clear and concise legal advice to variety of stakeholders
- Ability to hold self and others accountable for high-quality, timely, and effective results
- Strong ability to cooperate and work creatively and collaboratively toward solutions that benefit all parties
- Ability to influence and persuade others
- Demonstrated self-starter with strong work ethic
- Ability to handle ambiguity, prioritize, multi-task, and manage multiple cross-functional projects to completion with little direction, and quickly shift from one situation or task to another.
